Terms of Service

These terms govern your use of Locus, a desktop application and cloud service operated by Nebula Platform Pty Ltd (ABN pending) ("we", "us", "our"). By downloading, installing, or using Locus, you agree to these terms.

1. What Locus is

Locus is a desktop application that indexes documents on your local machine and uses AI to answer natural language questions about their contents. It is a productivity tool — not a legal, financial, medical, or professional advisory service.

AI-generated answers may contain errors. You are responsible for verifying any information Locus provides before relying on it for decisions.

2. Accounts

You must create an account to use Locus cloud features. You are responsible for keeping your login credentials secure. One account per person — no shared or transferred accounts.

We may suspend or terminate accounts that violate these terms, are used fraudulently, or remain inactive for more than 12 months.

3. Plans and billing

Locus offers two paid plans:

  • Focus ($12/mo): 150 cloud queries per month using our managed AI infrastructure.
  • Command ($24/mo): 500 cloud queries per month, bring-your-own API key for unlimited queries, model selection, and advanced features.

Local file indexing is free and does not require a subscription. Cloud queries — where your question is processed by an AI model — require an active paid plan or your own API key on the Command plan.

Subscriptions are billed monthly via Stripe. You can cancel at any time; cancellation takes effect at the end of your current billing period. We do not offer refunds for partial months.

We reserve the right to change pricing with 30 days' notice. Existing subscribers will be notified by email before any price change takes effect.

4. Your documents and data

Your documents remain on your local machine at all times. We do not upload, copy, or store your files. When you submit a query, small text fragments relevant to your question are sent to an AI provider to generate an answer. These fragments are transmitted via encrypted connections and are not retained by us or the AI provider.

You retain full ownership of your documents and any data derived from them. We claim no rights over your content.

5. Your API key

If you use your own API key on the Command plan, you are responsible for any charges incurred with the AI provider. Your key is stored locally and never transmitted to our servers. We are not liable for costs resulting from your API key usage.

6. Acceptable use

You agree not to:

  • Reverse engineer, decompile, or disassemble the Locus application
  • Use Locus to process documents you do not have the right to access
  • Attempt to circumvent query limits, authentication, or billing systems
  • Use Locus for any unlawful purpose or to facilitate illegal activity
  • Redistribute, resell, or sublicense Locus without our written consent
  • Interfere with or disrupt our infrastructure or other users' access

7. Intellectual property

Locus, its source code, design, branding, and documentation are the property of Nebula Platform Pty Ltd. Your subscription grants you a non-exclusive, non-transferable license to use the application for personal or internal business purposes.

The Locus name, logo, and the "convergence" visual identity are trademarks of Nebula Platform Pty Ltd.

8. Availability and updates

We aim to keep Locus cloud services available at all times, but we do not guarantee uninterrupted access. We may perform maintenance, push updates, or temporarily suspend services with reasonable notice where possible.

The desktop application may be updated automatically. We will not remove functionality you are paying for without providing an alternative or adjusting your subscription.

9. Limitation of liability

Locus is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by Australian law:

  • We are not liable for decisions made based on AI-generated answers
  • We are not liable for data loss on your local machine
  • Our total liability is limited to the amount you paid us in the 12 months preceding any claim

Nothing in these terms excludes or limits liability that cannot be excluded under Australian Consumer Law.

10. Governing law

These terms are governed by the laws of Queensland, Australia. Any disputes will be resolved in the courts of Queensland.

11. Changes to these terms

We may update these terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use after changes take effect constitutes acceptance of the updated terms.
